TERMS OF SERVICE FOR WEBSITES DESIGNED AND DEVELOPED BY JAW DROPPING DESIGNS ARE AS FOLLOWS:

WEBSITE DESIGN AND DEVELOPMENT

A. Work to be performed by Developer for Client - We build websites within a 30-day window that includes providing business services to assist in gathering the material we need from you, Layout and UX (User Experience) design review meetings, and website development work performed.

B. CHANGES - All changes to this agreement or the scope of work must be made in writing. If during a call or meeting Developer will send Client a list of the discussed changes and Client can approve changes by responding.  If anything comes up during design implementation that Client should know about, Developer will make this known promptly for resolution. Changes made after the subscription is complete may be subject to additional charges unless part of a continuing development subscription.

C. PAYMENT TIMELINES - Payment will be due at the time of order. Orders can be split into a 60-day subscription plan upon request. Split payments may lose discounting unless previously discussed. The first payment will be due to start the project and the 2nd automatically charged 30 days later.

We can deliver a completed website within 30 days so long as we have your info. We encourage you to turn in your onboarding materials within the first 10 calendar days to go live within the 30-day timeline. After this time period, additional time may be required.

Projects put on a 60-day subscription plan grant JAW Dropping Designs up to 30 additional days for project completion (a 60-day development time frame if needed).

D. DELAY BY CLIENT - We know things happen. If Client is not able to provide all content then the subscription will be paused and will be reinstated to our minimum monthly maintenance plan rate until the project is completed or canceled by Client. 

E. DELAY BY JAW - While rare, we are humans and sometimes life happens. If something on our end causes a delay we would automatically enroll you in our monthly maintenance subscription free of charge until the website is finished to the specifications of the subscription. 

F. PROJECT/ACCESSIBILITY - Clients will be able to view the work being performed at different intervals. Until Client’s site has been marked approved the end-users will not be able to view the new site.

G. CONFIDENTIALITY - Developer will not share anything learned about Client’s business. Developer will not share information others would consider classified with Client.

H. CONFIDENTIAL INFORMATION OF CLIENT - From time to time Client may provide its own confidential business and technical information to Developer in connection with the work to be performed by Developer hereunder. Such information shall be designated as confidential upon or prior to disclosure by Client. In addition, the preparation and specifications of the Deliverables shall in all instances be treated as confidential, unless and until disclosed publicly by Client. Developer shall use its best efforts to prohibit any use or disclosure of Client confidential information, except as necessary to perform work hereunder.

I. OWNERSHIP - Client is the owner of its website and the materials on their website.  Developer owns the intellectual property of the design and implementation.

J. NO CONFLICT - Developer represents and warrants that it is under no obligation or restriction that would in any way interfere or conflict with the work to be performed by Developer under this Agreement. Client understands that Developer is currently working on one or more similar projects for other clients. Provided that those projects do not interfere or conflict with Developer’s obligations under this Agreement, those projects shall not constitute a violation of this provision of the Agreement.

REQUIREMENTS

A. JAW Dropping Designs LLC - Both parties herein are in agreement that the Developer will provide the design and implementation of web, digital, and business services. 

B. CLIENT - Both parties herein are in agreement that unless stated otherwise the Client will provide photos, text, important design elements and features inspiration as well as approval. 

SUBSCRIPTION PAYMENTS

If we place your project on a 60-day subscription plan, your first payment will be charged to start the project. Your second payment will be automatically charged 30 days later. At the end of the project, once the subscription is paid in full, your subscription can either be converted to our maintenance plan, converted to a custom package for your needs, or your work will cease and your payments will conclude.

REFUND

Client hereby understands that only 50 percent of the initial payment is refundable prior to the development start date. Development officially begins when a design direction is chosen and we begin implementing the design.

TERM AND TERMINATION

A. TERM OF AGREEMENT - This Agreement shall be effective as of the Effective Date and shall remain in force for a period matching the above listed PAYMENT TIMELINE, unless otherwise terminated as provided below.

B. TERMINATION OF WORK - Client may, at its sole option, terminate any or all work outstanding, or any portion thereof, immediately upon written notice. Upon receipt of notice of such termination, Developer shall inform Client of the extent to which performance has been completed through such date, and collect and deliver to Client whatever work product and Deliverables then exist in a manner prescribed by Client. Developer shall be paid for all work performed through the date of receipt of notice of termination as specified herein prior to release of any work. Developer may terminate any work under this Agreement without the prior written consent of Client, but will submit notice in writing.
